This Schedule sets out the definitions applicable across all ORCHA legal documents, contracts, and platform terms.
Assessment: means the process by which ORCHA evaluates a Product under an applicable Assurance Framework.
Assurance Framework: means the framework developed and maintained by ORCHA to evaluate digital health products against defined criteria.
Assurance Threshold: means the minimum overall compliance score required for a Product to be awarded ORCHA Assured status.
Commercially Sensitive Information: means information identified by the Supplier as commercially sensitive or otherwise not for public disclosure.
Compare: means the ORCHA platform that provides access to assessment data and assurance information on digital health products.
Compare Subscription: means the right granted to a subscriber to access and use the Compare platform under the applicable terms of use.
Compare Updates and Digests: means periodic communications issued by ORCHA summarising new features, additions, or changes to the Compare platform.
Compliance Report: means the detailed assessment output produced by ORCHA setting out the factual results of an Assessment.
Confidential Information: means any information disclosed by one party to the other in connection with this Agreement that is not publicly available, including trade secrets, business information, and proprietary materials.
Data Protection Laws: means all applicable data protection and privacy legislation in force from time to time, including the UK GDPR, the Data Protection Act 2018, and any successor legislation.
Disclosable Information: means information supplied by the Supplier to ORCHA that may be used or published by ORCHA within its platforms to describe or promote the Product.
Force Majeure Event: means any event beyond a party’s reasonable control which prevents or delays the performance of its obligations under this Agreement.
Framework: means the applicable ORCHA-developed assessment framework used to evaluate a Product.
Intellectual Property Rights: means all intellectual property rights including patents, trademarks, service marks, copyright, design rights, database rights, and related rights whether registered or unregistered.
ORCHA: means ORCHA Health Limited, company number 09999966, whose registered office is at Sci-Tech Daresbury, Keckwick Lane, Daresbury, Cheshire, WA4 4FS, United Kingdom.
ORCHA Assessed: means a Product that has been evaluated under an ORCHA Assessment Framework, confirming that an assessment has been completed but not necessarily that the Product meets the assurance threshold.
ORCHA Assured: means a Product that has been assessed and achieved the applicable assurance threshold under the ORCHA Assurance Framework and has been awarded ORCHA Assured status.
ORCHA Global Baseline Review (OBR): means the assessment framework developed and maintained by ORCHA to evaluate digital health products across data protection, clinical safety, regulatory, and usability domains.
ORCHA Guarantee: means the limited assurance provided by ORCHA in respect of ORCHA Assured Products listed on Compare, as described in the Compare Terms of Use.
Order Form: means the order form or equivalent document setting out the specific details of a Supplier’s or Subscriber’s purchase of ORCHA services.
Product: means any digital health product, application, or software submitted to ORCHA for assessment or assurance.
Product Information Form: means the data capture form completed by the Supplier as part of the ORCHA Assured subscription or assessment process.
Scheme: means the ORCHA Assured Scheme operated by ORCHA for the assurance and monitoring of digital health products.
Service: means any service provided by ORCHA under an agreement, including assessment, assurance, platform access, or subscription services.
Subscriber: means a user or organisation that holds a valid subscription to an ORCHA platform under the applicable terms of use.
Subscription Term: means the period during which a Product or Subscriber is entitled to access ORCHA services under a valid subscription.
Supplier: means the developer, manufacturer, or organisation responsible for a Product submitted to ORCHA for assessment or assurance.
Watchlist: means the optional feature available within Verify or Compare that allows users to receive alerts about changes to Product status.
Watchlist Alerts: means notifications provided to Verify or Compare users who have opted into the Watchlist feature advising of changes in Product status or assurance designation.
Any capitalised term not defined in this Schedule shall have the meaning given in the context in which it appears.
