These Terms (“Terms”) govern the purchase and use of Compliance Reports made available via the ORCHA Verify platform. By placing an order, you agree to these Terms, which form a binding agreement between ORCHA Health Limited (“ORCHA”, “we”, “our”, “us”) and you (“you”, “your”, “the purchaser”).
If you are a Compare Subscriber, the purchase and use of any Compliance Report through Compare is governed by the Compare Terms and Conditions, not these Terms.
1.1 Capitalised terms used in these Terms have the meanings given in the ORCHA Standard Definitions Schedule (as updated from time to time and available at https://orchahealth.com/legal/definitions ).
1.2 In the event of any conflict between these Terms and the Verify Terms of Use, these Terms shall take precedence in relation to the sale and use of a Compliance Report.
2.1 A Compliance Report provides a factual record of an independent assessment carried out by ORCHA under one or more of the ORCHA Assessment Frameworks, including the ORCHA Baseline Review (OBR) or OBR+.
2.2 Each report reflects information and evidence available to ORCHA at the Assessment Date. It may not represent the current status of the product.
2.3 The report is provided for transparency and information purposes only and does not constitute medical, clinical, legal, or regulatory advice.
2.4 ORCHA does not warrant that the report or the information within it is complete, error-free, or up to date.
3.1 The Compliance Report and any related ORCHA assessment are not substitutes for, or evidence of, compliance with any regulatory regime, including but not limited to UKCA marking, CE marking, MHRA registration, or FDA clearance.
3.2 Purchasers remain responsible for verifying a product’s regulatory status and suitability for their intended use.
4.1 Compliance Reports may be ordered and paid for directly via the Verify platform.
4.2 Payment is due in full at the time of order.
4.3 Reports are delivered digitally (for example, by secure download or email link) within five (5) working days of purchase.
4.4 ORCHA reserves the right to decline or refund an order where:
- the relevant product or assessment is no longer available;
- the product has been withdrawn; or
- the report cannot reasonably be produced.
5.1 Reports are based on information obtained through:
- publicly available data reviewed by ORCHA at the time of assessment; and
- materials provided by the Developer or Supplier.
5.2 ORCHA distinguishes between:
- ORCHA Validated Evidence – verified directly by ORCHA reviewers from public sources; and
- Developer Trusted Evidence – information provided by the Developer that could not be independently verified but was consistent with other available data.
5.3 A “No” answer in a report means only that no publicly available evidence meeting the relevant OBR criteria was identified. It does not mean the product fails to meet a requirement or that the evidence does not exist elsewhere.
5.4 Full details of the assessment methodology are contained in the OBR Framework Description, which forms an integral interpretive part of every Compliance Report.
6.1 You are granted a non-exclusive, non-transferable licence to use the report for your organisation’s internal reference, evaluation, or procurement purposes only.
6.2 You may not reproduce, distribute, publish, or display the report externally without ORCHA’s prior written consent.
6.3 ORCHA retains all Intellectual Property Rights in the report and underlying assessment data.
7.1 The report is provided for information only. ORCHA makes no representation that the report remains accurate after the assessment date.
7.2 You must not rely on the report as the sole basis for any clinical, procurement, or compliance decision.
7.3 ORCHA owes no duty of care to you or any third party in relation to the contents of a report.
7.4 You must not use or represent the report as an endorsement, approval, or certification by ORCHA.
8.1 Reports may include information about third-party products or Suppliers.
8.2 Publication or sale of such reports does not imply that the product continues to meet the criteria assessed.
8.3 Each report states the Assessment Date and Framework Version used.
8.4 Suppliers who believe a report contains outdated or inaccurate information may request a Re-assessment at their own cost.
8.5 ORCHA shall not be liable for any alleged reputational or commercial impact arising from publication of factual results that accurately reflected information available at the time of assessment.
9.1 Compliance Reports are bespoke digital products and cannot normally be cancelled or refunded once generated.
9.2 Refunds may be granted at ORCHA’s discretion where:
- a report cannot be delivered; or
- payment was made in error.
10.1 To the fullest extent permitted by law, ORCHA shall not be liable for any loss, damage, or expense arising from the use of, or reliance on, a Compliance Report.
10.2 ORCHA shall not be liable for any indirect, consequential, or reputational losses.
10.3 ORCHA’s total aggregate liability for any claim in connection with a purchased report shall be limited to the price paid for that report.
11.1 ORCHA will process purchaser information in accordance with its Privacy Policy (https://orchahealth.com/privacy-policy).
11.2 Reports may include references to publicly available data or Supplier submissions but will not include personal data.
Nothing in these Terms shall create any partnership, joint venture, or agency relationship between you and ORCHA.
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
